These Terms govern the public website only. Any consulting, implementation, support, training, or software engagement will require a separate written agreement or statement of work.

1. Acceptance of these Terms

These Terms of Use (“Terms”) form an agreement between you and Meridian Software Inc (“Meridian,” “we,” “us,” or “our”) concerning your access to and use of this website. By accessing or using the website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.

You represent that you have legal capacity to accept these Terms. If you use the website on behalf of an organization, you represent that you are authorized to bind that organization for purposes of website use.

2. Website information is general

The website provides general information about Meridian, Microsoft Fabric, Power BI, data platforms, analytics, potential software products, and possible engagement models. It is not technical, legal, accounting, tax, financial, cybersecurity, licensing, or procurement advice. You are responsible for obtaining advice appropriate to your circumstances and independently evaluating decisions.

Technology, Microsoft licensing, product features, capacity requirements, prices, timelines, and availability can change. We make reasonable efforts to keep website content useful but do not promise that it is complete, current, or suitable for a particular purpose.

3. Services, products, and pricing

Website descriptions are invitations to discuss a potential engagement and are not binding offers. Public prices are starting estimates in Canadian dollars, exclude applicable taxes and third-party costs, and depend on confirmed assumptions, scope, access, data quality, technical complexity, and resourcing.

No services are purchased or formed through this website. An engagement begins only when authorized parties sign a written agreement, proposal, order form, or statement of work. If website content conflicts with a signed agreement, the signed agreement controls.

Products identified as “in development,” “planned,” “preview,” or “coming soon” may change, be delayed, or not be released. Such descriptions are not commitments to deliver particular functionality or dates.

4. Permitted and prohibited use

Meridian grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the website for lawful personal or internal business evaluation.

You must not:

  • use the website unlawfully, fraudulently, or to harm another person;
  • attempt to bypass security, gain unauthorized access, probe vulnerabilities, or disrupt website operation;
  • introduce malware, harmful code, automated abuse, or excessive traffic;
  • scrape, harvest, or collect personal information except as permitted by law and written authorization;
  • copy, republish, sell, sublicense, reverse engineer, or create derivative commercial materials from website content except as permitted by law;
  • misrepresent an affiliation with Meridian or use our branding in a misleading way; or
  • use the website or content to infringe intellectual-property, privacy, confidentiality, or other rights.

Ordinary search-engine indexing and sharing links to public pages are permitted.

5. Intellectual property and trademarks

Unless stated otherwise, Meridian owns or licenses the website design, text, graphics, logo, compilations, and other original content. These materials are protected by Canadian and international intellectual-property laws. No rights are granted except the limited website-use licence above.

Microsoft, Microsoft Fabric, and Power BI are trademarks of the Microsoft group of companies. All third-party names and marks belong to their respective owners. References are descriptive and do not transfer any rights. Unless expressly stated after formal approval, Meridian Software Inc is independent and is not affiliated with, endorsed by, sponsored by, or an authorized representative of Microsoft.

6. Information and feedback you submit

Information submitted through a consultation form is handled according to our Privacy Policy. You represent that you have the right to provide the information and that it is accurate to the best of your knowledge.

Do not submit passwords, production credentials, personal datasets, regulated records, trade secrets, or other confidential or sensitive information through the website. Submitting an inquiry does not create a consultant-client relationship, fiduciary duty, exclusivity obligation, or confidentiality agreement. Confidential information should be exchanged only after appropriate written protections and secure channels are established.

If you voluntarily provide general feedback or suggestions about the website or services, you grant Meridian permission to use that feedback without restriction or compensation, provided we do not identify you publicly without permission.

7. Third-party services and links

The website may link to or rely on third-party services, including hosting, booking, fonts, Microsoft resources, and other websites. Third parties operate under their own terms and privacy practices. Meridian does not control or endorse third-party content merely by linking to it and is not responsible for its availability, security, accuracy, or conduct.

8. Disclaimers

To the maximum extent permitted by applicable law, the website and its content are provided “as is” and “as available,” without representations, warranties, conditions, or guarantees of any kind, whether express, implied, statutory, or collateral. This includes implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, security, and freedom from harmful components.

Some jurisdictions do not allow the exclusion of certain warranties or conditions. In that case, the exclusions apply only to the extent legally permitted.

9. Limitation of liability

To the maximum extent permitted by applicable law, Meridian and its directors, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business, opportunity, goodwill, anticipated savings, or data; or business interruption arising from or related to use of, inability to use, or reliance on the website.

Where liability cannot lawfully be excluded, Meridian’s aggregate liability arising from the website will be limited to the greater of CAD $100 and the amount you paid Meridian specifically for access to the website during the six months before the event giving rise to the claim. This limitation does not apply where prohibited by law, including liability that cannot be limited for fraud, wilful misconduct, or other legally non-excludable matters.

10. General terms

Changes and availability

We may change, suspend, or discontinue the website or update these Terms. Updated Terms take effect when posted unless a later date is stated. Continued use after an update means you accept the revised Terms.

Governing law

These Terms are governed by the laws of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to mandatory consumer or other legal rights, disputes will be brought before the courts located in Alberta.

Severability and waiver

If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. Failure to enforce a provision is not a waiver.

Entire agreement and contact

These Terms and the documents they incorporate are the entire agreement about website use. Contact Meridian at contact@meridiansoftware.ca or through the consultation form with questions, and write “Legal Question” in the subject line or at the beginning of your message.
